  3. 1. General Provision & Applicability
  4. The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions of sale. In order to be valid, any derogation must be expressly agreed to in advance in writing by Procure4me.

  6. 2. Payment Terms & Delivery Conditions

    • Advance Payment Required: All orders are subject to upfront payment. Goods will only be dispatched, delivered, or made available for pickup once Procure4me has received the full invoiced amount in cleared funds.

    • Late Payments & Cancellation: If payment is not received within the timeline specified during checkout or on the order confirmation, Procure4me reserves the right to cancel the order without prior warning and release the inventory.

    7. 3. International Legislation & Withholding Taxes

    Certain countries apply withholding at source on the amount of invoices, in accordance with their internal legislation.

    • Any withholding at source must be paid by the client to their respective tax authorities.

    • Under no circumstances will Procure4me become involved in costs related to a specific country's local legislation. The total amount of the invoice must be paid to Procure4me in its entirety prior to delivery, without any deductions, withholdings, or costs relating to the legislation of the country in which the client is located.

    8. 4. Liability & Performance Obligations

    Procure4me undertakes to do its best to supply high-quality products and performant services in due time in accordance with agreed timeframes following the receipt of payment.

    • None of its obligations can be considered as an obligation to achieve absolute results.

    • Procure4me cannot under any circumstances be required by the client to appear as a third party in the context of any claim for damages filed against the client by an end consumer.

    9. 5. Claims and Dispute Notifications

    In order for any product or service claim to be admissible, Procure4me must be formally notified by means of a letter sent by recorded delivery to its registered office within 8 days of the delivery of the goods or the provision of the services.

    6. Governing Law

    All contractual relations, transactions, and agreements between the parties will be governed exclusively by United States law.
